Terms & Conditions

1. Who you are contracting with

These Terms & Conditions ("Terms") form a binding agreement between you ("Customer", "you") and AL Huokama al Motqana (الحوكمة المتقنة) ("HuMatrix.ai", "we", "us", "our"), a company registered in the Kingdom of Saudi Arabia under tax identifier 3121787189, with registered address at RHKA8810, King Abdullah Quarter, Ward Street, 12426 Riyadh, Kingdom of Saudi Arabia. HuMatrix.ai operates the HuMatrix.ai platform available at humatrixvoc.live (the "Service"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation.

2. The Service

HuMatrix.ai is a software-as-a-service platform that helps teams collect, analyse, and act on customer feedback across channels including email, SMS, web, WhatsApp, and in-app surveys.

3. Acceptable use

You agree not to misuse the Service. In particular, you must not:

  • use the Service for any unlawful, fraudulent, deceptive, or harmful purpose;
  • send spam, phishing, or unsolicited communications via the Service;
  • infringe any intellectual property, privacy, or other rights of any person;
  • upload malware or otherwise interfere with the security or integrity of the Service;
  • probe, scan, scrape, or attempt to gain unauthorised access to the Service.

4. Account and credentials

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate information and keep it up to date.

5. Intellectual property

The Service, including all software, design, branding, and documentation, is owned by HuMatrix.ai and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your subscription plan. You retain ownership of the data and content you submit to the Service ("Customer Content"); you grant us a limited licence to host and process Customer Content solely to provide the Service.

6. Service availability

We work hard to keep the Service available, but we do not guarantee uninterrupted or error-free operation and disclaim all implied warranties to the fullest extent permitted by law.

7. Payments, subscriptions, taxes, and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, applicable taxes, subscription renewal, cancellation and refund mechanics are governed by Paddle's Buyer Terms. Refunds are also handled in accordance with our Refund Policy.

8. Suspension and termination

We may suspend or terminate your access to the Service for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, we will provide a reasonable window to export your Customer Content before deletion.

9. Liability

To the maximum extent permitted by law, our aggregate liability arising out of or in connection with the Service is limited to the fees paid by you to Paddle for the Service in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury where such exclusion is prohibited by law.

10. Indemnity

You agree to indemnify HuMatrix.ai against claims arising from your Customer Content, your unlawful use of the Service, or your breach of these Terms.

11. Governing law

These Terms are governed by the laws of the Kingdom of Saudi Arabia. The competent courts of Riyadh, KSA shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, save where mandatory local consumer law provides otherwise.

12. Changes

We may update these Terms from time to time. Material changes will be communicated via the Service or by email; continued use of the Service after such changes constitutes acceptance.
